1. Scope
These Terms & Conditions (“Terms”) govern your access to and use of Frame‑Mill’s services available at frame-mill.com (the “Site”), including the purchase and download of AI‑generated digital artwork, and the purchase and use of prepaid service units (the “Credits”) to access our image generation features (together, the “Services”). By creating an account, purchasing any item, or using the Services, you agree to these Terms.
2. Eligibility & Account
- You must be at least 18 years old and have legal capacity to enter into a binding contract.
- You are responsible for safeguarding your account credentials and for all activities under your account.
- We may refuse registration, suspend, or terminate accounts where we reasonably believe these Terms are breached or the Services are misused.
3. Definitions
- “Digital Content” means AI‑generated images and related files made available for purchase or download via the Site.
- “Credits” means prepaid service units that enable access to certain generation features. Credits are not money, not e‑money, not cryptocurrency, and have no cash value.
- “Order” means a purchase of Digital Content or Credits placed via the Site.
4. Business Model
We sell Digital Content and Credits on a one‑off basis. We do not offer subscription products. Credits may be required to access or run certain image generation features and will be deducted when features are used.
5. Ordering & Contract Formation
- By placing an Order, you make an offer to buy the relevant Digital Content and/or Credits under these Terms.
- A contract is formed when we confirm your Order or deliver the Digital Content / allocate Credits to your account, whichever occurs first.
- We may decline or cancel an Order at our discretion (for example, in case of evident pricing mistakes or suspected misuse of the Services).
- Please review your Order carefully. You are responsible for providing accurate information at checkout.
6. Prices, Taxes & Currencies
- Prices are shown in USD, EUR, AUD, or CAD. The available currency may depend on your location or selection on the Site.
- Any applicable taxes will be displayed at checkout where required. You are responsible for any additional fees charged by your payment provider.
- We may update prices from time to time; changes do not affect Orders already accepted.
7. Payments
- Payments are processed by third‑party payment processors. By submitting payment information, you authorise the charge for the total amount of the Order.
- The Services provide Pay‑In functionality only. There is no cash‑out, withdrawal, or redemption of value from Credits or Digital Content.
8. Delivery of Digital Content & Credits
- Digital Content: delivery occurs when download links are made available in your account or via email. Delivery windows and link expiry may apply.
- Credits: delivery occurs when Credits appear in your account balance. Deductions happen automatically when you use generation features.
- If delivery fails due to technical issues, contact us at info@frame-mill.com and we will assist.
9. Right to Cancel (Digital Content) & Cooling‑Off Waiver
If you are a consumer in the UK or EEA, the law may provide a 14‑day right to cancel for digital content. However, where you request immediate access to Digital Content or Credits and acknowledge that this means you lose your right to cancel once delivery/use starts, you will not be able to cancel after delivery has begun. We implement affirmative check‑boxes at checkout to capture your request for immediate access.
10. Refunds — Summary
- Digital Content: generally non‑refundable once delivered unless it is objectively defective (e.g., corrupted file).
- Credits: refundable only if entirely unused and requested within the applicable statutory window; otherwise non‑refundable and not exchangeable for cash or other value.

11. Credits — Nature & Restrictions
- Credits are a limited, revocable licence to access generation features; they are non‑transferable, non‑exchangeable, and have no monetary value.
- Credits are not money, not e‑money, and not cryptocurrency; they cannot be redeemed for cash or any cash equivalent.
- Credits may expire if specified at purchase or by notice; any expiry terms will be clearly stated before you buy.
12. Intellectual Property & Licence to You
- Unless a product page explicitly states otherwise, we grant you a non‑exclusive, worldwide, revocable, non‑transferable licence for personal use of Digital Content you purchase or generate using your Credits (“Personal‑Use Licence”).
- Commercial use requires purchasing items or licences expressly labelled for commercial use (“Commercial Licence”), where available, and complying with the specific terms on the product page.
- You may not assert or imply that the Digital Content is unique or exclusively created for you, or that you are the sole author; AI‑generated outputs may be similar for different users.
13. Acceptable Use & Prohibited Conduct
- Do not use the Services to create, upload, or distribute unlawful, harmful, defamatory, infringing, or deceptive content.
- Do not attempt to reverse engineer, interfere with, or overload the Services.
- Do not attempt to remove, obscure, or alter proprietary notices or technological measures.
- We may remove content or suspend accounts where we reasonably believe these rules are violated.
14. Third‑Party Tools & Models
- The Services may rely on hosting, analytics, content delivery networks, and AI model providers. Availability of features may vary and may change without notice.
- We do not guarantee that any specific third‑party tool or model will remain available or unchanged.
15. User‑Generated Content (UGC) & Prompts
- You remain responsible for prompts, inputs, uploads, and any content generated from them. Ensure you have the necessary rights to any material you upload.
- You grant us a limited licence to host, process, and display your UGC for the purpose of operating and improving the Services.
16. IP Claims & Takedown
- If you believe content on the Site infringes your rights, notify us at info@frame-mill.com with sufficient detail to identify the content and your rights.
- We may remove or disable access to allegedly infringing material and, where appropriate, notify the user.
17. Service Availability & Changes
- We aim to keep the Services available but do not guarantee uninterrupted or error‑free operation.
- We may modify, suspend, or discontinue features or the Services (in whole or part) with or without notice where reasonable.
- Material changes to these Terms will be notified by updating this page and revising the “Last updated” date.
18. Warranties & Disclaimers
- The Services and Digital Content are provided on an “as is” and “as available” basis.
- We do not warrant that Digital Content will be suitable for any particular purpose or free from all inaccuracies or artefacts inherent in generative systems.
19. Liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.
- To the maximum extent permitted by law, we exclude liability for: (i) indirect or consequential loss; (ii) loss of profits, revenue, or data; (iii) business interruption.
- Our aggregate liability for any claim arising out of or in connection with the Services will not exceed the greater of: (a) the amount you paid for the specific Order giving rise to the claim; or (b) USD 100.
20. Suspension & Termination
- We may suspend or terminate your access where we reasonably believe you breached these Terms or misused the Services.
- Upon termination, licences granted to you under these Terms may cease, and any unused Credits may be cancelled in accordance with applicable law.
21. Force Majeure
We are not responsible for any failure or delay caused by events beyond our reasonable control, including failures of third‑party platforms, networks, utilities, or providers.
22. Governing Law & Jurisdiction
These Terms and any non‑contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to mandatory consumer protection rules where applicable.

24. Miscellaneous
- Severability: If any provision is found invalid or unenforceable, the remainder remains in effect.
- No waiver: Failure to enforce any provision is not a waiver of our rights.
- Assignment: You may not assign or transfer your rights or obligations without our prior written consent.
- Entire agreement: These Terms constitute the entire agreement regarding the Services, superseding any prior agreements.
